State Annual Reports & Franchise Taxes

Every state has a different deadline for filing your LLC Annual Report. In Delaware, it's June 1st. In Florida, it's May 1st. In California, franchise tax is due the 15th day of the 4th month after formation. Select your state in the dropdown at the top to customize your personal calendar.

Why Compliance Matters

Maintaining an LLC is not a "set it and forget it" process. To keep your limited liability protection intact, you must stay on top of both state and federal deadlines.

1. State Annual Reports

Most states require an annual or biennial report to confirm your LLC's basic information (like your registered agent and principal address). Missing this deadline will result in late fees and eventually administrative dissolution.

2. FinCEN BOI Report

The Corporate Transparency Act requires almost all LLCs to file a Beneficial Ownership Information (BOI) report. For LLCs formed in 2026, this is due 90 days after formation. Existing LLCs must update FinCEN within 30 days of any change in ownership or address.

3. Franchise Taxes

Some states (like Delaware and California) charge a separate tax just for the privilege of existing. Delaware's $300 LLC tax is due June 1st every year.
